“The New Separation Between Ownership & Control: Institutional Investors & ESG” featured an expert panel comprising Professors Paul G. Mahoney and Julia D. Mahoney from the University of Virginia School of Law.
Our experts discussed what scholars and policymakers have long debated: namely, whether corporations should serve social purposes at the expense of shareholder wealth. The SEC has recently faced calls to mandate environmental, social, and governance (ESG) disclosures. Should the SEC (and, thus, practitioners advising their investor clients) proceed with caution? Is the adoption of ESG disclosure mandates properly aligned with protecting investors and maintaining fair, orderly, and efficient markets. Accordingly, what policies should we hope to see at the SEC and what advice might we give our clients?
